By accessing our website, submitting an application, or participating in Vape Collective, you agree to these Terms.

1. About Vape Collective

Vape Collective is a business-to-business network designed to connect independent vape retailers with participating distributors and provide access to programs, offers, limited-time opportunities, and other business opportunities.

Vape Collective facilitates connections, communications, program administration, and verification of qualifying activity.

Unless expressly stated otherwise, Vape Collective does not purchase, sell, warehouse, ship, distribute, or take possession of vape products or retailer inventory.

2. Eligibility

Vape Collective is intended for legitimate businesses operating in jurisdictions where their activities are permitted by law.

By applying to or participating in Vape Collective, you represent that:

• You are authorized to act on behalf of the business you represent.
• Information you provide is accurate and complete.
• Your business maintains all licences, registrations, permits, and approvals required for its operations.
• Your business complies with applicable federal, provincial, and municipal laws and regulations.

Vape Collective may approve or decline applications at its discretion.

3. Retailer Purchases

Retailers participating in Vape Collective continue to place orders directly with participating distributors.

Unless expressly agreed otherwise in writing, any purchase or sale of products is a transaction between the retailer and the applicable distributor.

The distributor remains responsible for matters relating to its products and transactions, including product availability, pricing, invoicing, payment terms, fulfillment, shipping, returns, warranties, and regulatory compliance.

Vape Collective is not the seller or distributor of those products and is not a party to the underlying product transaction.

4. Programs and Opportunities

Vape Collective may communicate or administer distributor programs, limited-time offers, volume opportunities, promotional programs, incentives, or other opportunities.

Program availability, eligibility, terms, participating products, qualifying periods, and benefits may vary.

Programs may be changed, suspended, extended, or discontinued.

Participation in Vape Collective does not guarantee access to any particular program, product, pricing, payment, incentive, or financial benefit.

5. Purchase and Program Verification

Participants may be required to provide invoices, purchase reports, sales information, or other documentation reasonably required to verify eligibility or participation in a program.

Participants agree that information submitted for verification will be accurate and complete.

Vape Collective may review submitted information and, where reasonably necessary, confirm qualifying activity with participating distributors or program partners.

Vape Collective may reject activity that cannot reasonably be verified or that does not satisfy applicable program requirements.

6. Distributor Relationships

Participating distributors maintain control over their own commercial relationships with retailers.

Unless specifically agreed otherwise in writing, Vape Collective does not establish pricing, extend credit, collect payment for product purchases, guarantee retailer payment, or assume responsibility for a retailer's obligations to a distributor.

7. Compliance

Each participant is responsible for understanding and complying with the laws, regulations, licensing requirements, advertising restrictions, age restrictions, product requirements, and other rules applicable to its business and jurisdiction.

Participation in Vape Collective does not replace or reduce a participant's own regulatory responsibilities.

Vape Collective may suspend or terminate participation where it reasonably believes continued participation may create legal, regulatory, reputational, or operational risk.

8. Communications

By participating in Vape Collective, you agree that we may send communications reasonably necessary to operate the network, including information concerning programs, opportunities, verification requirements, account administration, and participation.

Marketing communications will be handled in accordance with applicable law and our Privacy Policy.

9. Intellectual Property

The Vape Collective name, logo, branding, website design, content, graphics, and other materials belonging to Vape Collective may not be copied, reproduced, modified, distributed, or used without authorization, except as permitted by law.

Third-party trademarks, brand names, and logos remain the property of their respective owners.

10. Website and Service Availability

We aim to provide reliable information and services but cannot guarantee that the website or Vape Collective programs will always be available, uninterrupted, error-free, or current.

Information concerning programs, distributors, products, or opportunities may change.

11. Third-Party Products and Services

Vape Collective may provide information or links relating to participating distributors, brands, service providers, or other third parties.

Unless expressly stated otherwise, Vape Collective does not manufacture, sell, warrant, or guarantee third-party products or services.

Participants are responsible for evaluating their own commercial relationships and purchasing decisions.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Vape Collective will not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the network, use of the website, third-party transactions, or reliance on program information.

Vape Collective is not responsible for losses arising from transactions between retailers and distributors, including product availability, delivery, product quality, payment disputes, pricing, returns, or other commercial matters controlled by those parties.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

13. Suspension or Termination

Vape Collective may suspend or terminate participation where a participant:

• Provides false or misleading information;
• Fails to comply with program requirements;
• Engages in fraudulent or abusive activity;
• Violates applicable law or regulation;
• Misuses Vape Collective information, systems, or programs; or
• Otherwise creates material legal, financial, reputational, or operational risk.

Participants may request to leave Vape Collective subject to any outstanding obligations or applicable program terms.

14. Privacy

Our collection and use of personal information is governed by our Privacy Policy.

Business information submitted through Vape Collective may also be used as reasonably necessary to administer and verify programs as described in our Privacy Policy.

15. Changes to These Terms

We may update these Terms periodically as Vape Collective, our programs, or applicable requirements evolve.

Updated Terms will be posted on our website with a revised “Last Updated” date.

Continued use of Vape Collective following an update constitutes acceptance of the updated Terms where permitted by law.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Any dispute relating to these Terms will be subject to the jurisdiction of the courts of Ontario, unless applicable law requires otherwise.
